Company Formation in Andorra
Europe
Overview
Andorra, a small European principality, offers a unique business environment with a loyal tax system, attracting international investors. While not a traditional offshore jurisdiction, its stable political climate and structured company formation process, requiring Ministry of Commerce approval, make it an appealing option for certain business activities. Foreigners can own 100% of companies, with specific approvals for significant shareholdings.
Our Process
Step 1: Ministry of Commerce Approval
Obtain initial approval from the Ministry of Commerce to proceed with company formation, as the local legislation does not encourage cheap offshore entities.
Step 2: Name Approval & Investment Authorization
Submit a request for your company name in Catalan and an application for investment authorization, detailing your business plan, investment size, and market role.
Step 3: Official Company Registration
Once approvals are granted, the company is officially registered and entered into the Business and Trade Registers.
Step 4: Notarization of Incorporation Act
A notary authenticates the incorporation act, which formalizes the company's establishment and lists its shareholders.
